  • Client Responsibilities: Clients are responsible for providing images, content, and any other necessary materials for the project. Website Grow can create graphics for an additional cost, as discussed and agreed upon in the project proposal.

3. Payment Terms

  • Pricing Structure: Pricing for services is outlined on our website or provided in a custom proposal specific to the client’s needs.
  • Deposit Requirements: A 50% deposit is required upfront, with the remaining 50% due upon project completion. Different terms may be agreed upon in writing.
  • Payment Methods: Payments can be made via bank transfer, PayPal, or Stripe.
  • Late Payments: Invoices must be paid within 14 days. Late payments may incur a 5% interest charge per month.

4. Project Timeline

  • Typical Project Duration: Projects typically aim to be completed within 1 month, depending on scope. Development time may extend if there are special requirements.
  • Client Delays: Delays in providing images, content, or feedback will result in project delays. Website Grow is not responsible for delays caused by client inaction.

  • Number of Revisions: Unlimited revisions are allowed during the feedback stage. Any revisions requested after this stage will be charged at £30 per hour unless the client is subscribed to a monthly plan.

6. Intellectual Property

  • Ownership of Final Product: Upon full payment, the client owns the rights to the final product, including the website and any associated content.
  • Licensing: Website Grow uses third-party software, fonts, and images under proper licensing. Clients are responsible for adhering to any applicable third-party licensing terms.
  • Portfolio Use: Website Grow reserves the right to showcase the completed project in its portfolio unless the client explicitly requests otherwise in writing.

7. Confidentiality

  • Confidential Information: Any information designated as confidential by the client, including customer data and proprietary content, will be treated as such by Website Grow.
  • NDA Requirements: Website Grow does not require NDAs but will honor reasonable confidentiality requests.

8. Termination Clauses

  • Termination by Client: The client may terminate the agreement if Website Grow fails to meet contractual obligations. A detailed explanation must be provided, and any work completed up to that point will be invoiced.
  • Termination by Agency: Website Grow reserves the right to terminate the agreement if the client is uncooperative, fails to pay, or otherwise breaches the terms. Outstanding work will be billed accordingly.
  • Termination Fees: Any completed work up to the point of termination will be billed and must be paid in full.

9. Warranties and Disclaimers

  • Quality Assurance: Website Grow guarantees client satisfaction or offers a money-back guarantee. If the client is not 100% satisfied, the agency will work to rectify the issue or offer a refund.
  • Limitations of Liability: Website Grow is not liable for indirect, incidental, or consequential damages arising from the project, including but not limited to loss of revenue, data, or business opportunities. Liability is limited to the amount paid by the client for the services.

10. Liability and Indemnity

  • Liability Cap: Website Grow’s liability is capped at the total amount invoiced and paid by the client for the specific project.
  • Indemnity Clause: The client agrees to indemnify and hold Website Grow harmless from any claims, damages, or legal expenses arising from the use of the website or services provided, particularly concerning the content supplied by the client.

11. Governing Law

  • Jurisdiction: These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
  • Dispute Resolution: Parties agree to attempt mediation before pursuing legal action. If mediation fails, disputes will be resolved in the courts of England and Wales.

12. Force Majeure

  • Unforeseeable Events: Website Grow is not liable for delays or failures caused by circumstances beyond its control, including but not limited to natural disasters, pandemics, strikes, or government actions.

13. Acceptance and Signatures

  • Acceptance Method: By signing a contract, agreeing to terms on a form, or making a payment, the client agrees to these terms and conditions.
  • Digital Signatures: Digital signatures are accepted and considered legally binding.

14. Data Protection and Privacy

  • GDPR Compliance: Website Grow complies with GDPR regulations. Client data is only used for the purpose of fulfilling the contract and is stored securely. Clients have the right to request data access, correction, or deletion.
  • Data Processing: If Website Grow processes personal data on behalf of the client, a separate data processing agreement may be required.

15. Miscellaneous

  • Amendments: Any changes to these terms must be agreed upon in writing by both parties.
